In Thailand, the Memorandum of Association (MOA) is a legal document serving as the foundational document in the process of company registration. It outlines the fundamental details and regulations governing the company’s operations and management.

If you do not know already, this is the second step to registering a private limited company in Thailand and is similar to “Articles of Incorporation”. When submitting ensure it states everything about your intended business, including the place, the company’s purpose, and the registered capital. Also, the promoters must also be named in the document. The name, addresses, occupations, and signatures of promoters alongside the number of shares subscribed to by each should be stated as well.

The Memorandum of Association (MOA) in Thailand must be made in two original copies. Additionally, it must be signed by the promoters and two witnesses. For your information, the promoters will require paying an official fee. The fee calculation is on the basis of the capital registered with MOA filing.

However, to go through this step you will first have to reserve your company’s name. Any one of the promoters can complete the Name Reservation Form. Henceforth, you have to submit it to the Department of Business Development. After the approval of your name reservation, you will then have 30 days to file MOA along with the reserved name.

After filing the Memorandum of Association in Thailand, you must convene the meeting. In this meeting, you have to make decisions regarding the number and extent of sharing of preferential shares.
